1.Definitions

• "Tenant" means the company or organisation that registers for the Service and all users under that account.
• "User" means any individual granted access to the Service by a Tenant administrator.
• "Subscription" means the paid or trial plan under which the Tenant accesses the Service.
• "Data" means any information entered, uploaded, or generated within the Service by a Tenant or its Users.

2.Account Registration

1. You must provide accurate and complete information when creating an account.
2. You are responsible for maintaining the confidentiality of your login credentials.
3. You must notify us immediately of any unauthorised use of your account.
4. We reserve the right to suspend or terminate accounts that violate these Terms.

3.Free Trial & Subscriptions

1. New Tenants receive a 14-day free trial with full access to all features.
2. At the end of the trial period, access will be restricted unless a paid subscription is activated.
3. Subscription fees, billing cycles, and payment terms are communicated at the time of purchase.
4. Subscriptions renew automatically unless cancelled before the renewal date.
5. We reserve the right to change pricing with 30 days' written notice.

4.Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to violate any applicable laws or regulations.
• Attempt to gain unauthorised access to any part of the Service, other accounts, or related systems.
• Introduce viruses, malware, or any other harmful code.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Resell, redistribute, or sublicence the Service without prior written consent.
• Use the Service to store or transmit content that infringes third-party intellectual property rights.

5.Data Ownership & Privacy

1. You retain full ownership of all Data you enter into the Service.
2. We will not sell, share, or disclose your Data to third parties except as required by law or as outlined in our Privacy Policy.
3. Each Tenant's Data is logically isolated from other Tenants in our multi-tenant architecture.
4. You are responsible for ensuring that any personal data you upload complies with applicable data protection legislation (e.g., POPIA, GDPR).
5. We implement industry-standard security measures to protect your Data, but cannot guarantee absolute security.

6.Service Availability

1. We aim to maintain high availability but do not guarantee uninterrupted access.
2. Scheduled maintenance will be communicated in advance where possible.
3. We are not liable for downtime caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.

7.Intellectual Property

1. The Service, including its software, design, logos, and documentation, is the intellectual property of Kemp Technology.
2. Your Subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.
3. The VasKem name, logo, and branding are trademarks of Kemp Technology.

8.Limitation of Liability

1. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
2. Our total liability for any claim arising from the Service shall not exceed the fees paid by you in the 12 months preceding the claim.
3. We are not responsible for decisions made based on data or reports generated by the Service.

9.Termination

1. You may cancel your Subscription at any time by contacting us.
2. We may suspend or terminate your access if you breach these Terms, with or without notice.
3. Upon termination, you may request an export of your Data within 30 days. After this period, your Data may be permanently deleted.

10.Indemnification

You agree to indemnify and hold harmless Kemp Technology, its directors, employees, and agents from any claims, losses, or damages arising from your use of the Service or violation of these Terms.

11.Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.

12.Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
